**How do I use the R&D tax credit against payroll taxes?** Who qualifies, how the election is made on Form 6765, and how Form 8974 applies the credit quarter by quarter, worked for one hypothetical year.

A [qualified small business](https://lopifi.com/md/glossary/payroll-tax-offset) can elect to take up to $500,000 of its research credit a year against payroll tax instead of income tax. For a startup with no income tax, that's the difference between a carryforward and cash.

| Test | 2027 | 2030 | 2031 |
| --- | --- | --- | --- |
| Gross receipts under $5,000,000 | Yes | Yes | Yes |
| No gross receipts before the 5-year window | Yes | Yes | No |
| Fewer than 5 earlier elections | Yes | Yes | Yes |
| Can elect | Yes | Yes | No |

Is Northwind a qualified small business? Its first gross receipts were in 2026.

> “In the case of taxable years beginning after December 31, 2022, the amount in subclause (I) shall be increased by $250,000.”

— [IRC §41(h)(4)(B)(i)(II)](https://www.law.cornell.edu/uscode/text/26/41), The payroll election for a qualified small business, up to $500,000

Gross receipts here are Northwind's $1,800,000 of tool sales, measured under §448(c)(3)'s rules, and the window is the clock that matters: a company that first had receipts in 2026 can elect through 2030 and no later. The amount is the smallest of what's elected, the year's credit and, for a C corporation, the business credit carried forward from the year. Northwind owes no income tax, so the whole $15,102 is available.

1. **Figure the credit.** Work out the QREs and the credit on Form 6765 ([QREs](https://lopifi.com/md/learn/what-counts-as-qualified-research-expenses) and [computing the credit](https://lopifi.com/md/learn/how-to-calculate-the-rd-credit)). A C corporation completes Form 3800 before Section D.
2. **Elect in Section D.** Check line 33a, enter the amount elected on line 34 (no more than $500,000), and carry line 36 to Form 8974, Part 1, column (e).
3. **File the return on time.** Attach Form 6765 to the income tax return and file it on time, including extensions. The election can't be made on an amended return.
4. **Claim it on Form 8974.** With the Form 941 for the first quarter that begins after the return was filed, attach [Form 8974](https://lopifi.com/md/glossary/form-8974). It applies the credit to that quarter's employer taxes.
5. **Carry the rest.** Whatever the quarter couldn't absorb goes on the next quarter's Form 8974, and the next, until it's used.

Claiming it, start to finish.

> “The election must be made on or before the due date of the originally filed income tax return (including extensions).”

— [Instructions for Form 6765 (Rev. December 2025), Payroll Tax Credit Election](https://www.irs.gov/pub/irs-pdf/i6765.pdf) (PDF), The payroll election, on Form 6765 Section D

> “An election cannot be made with an amended return.”

— [IRS, Qualified small business payroll tax credit for increasing research activities](https://www.irs.gov/businesses/small-businesses-self-employed/qualified-small-business-payroll-tax-credit-for-increasing-research-activities), The payroll election must be on a timely filed original return

**Elect against payroll tax**
- Pro: Cash within a few quarters
- Pro: No taxable income needed
- Con: Only on a timely filed original return
- Con: Uses one of the five elections
- Con: Payroll must be large enough to absorb it
- Best for: A loss-making startup with employees, inside the five-year window

**Carry it forward against income tax**
- Pro: No election to miss
- Pro: Twenty years to use it
- Con: No cash until there's income tax to offset
- Con: An ownership change can limit it later
- Best for: A company that expects income tax soon, or is past the window

Payroll election or carryforward?

> **The payroll election lives or dies on the original return: file it on time, with Section D completed, and the credit starts the next quarter.**
