Nexus on sales alone

Wisconsin dropped the 200-transaction test in 2021. A remote seller has to collect only if its gross sales into Wisconsin exceed $100,000 in the previous or current calendar year. The state rate is 5%, with a 0.5% county tax in 70 counties, a 0.9% Milwaukee County tax, and a 2% City of Milwaukee tax, both since January 1, 2024.

SaaS, IaaS and downloads

Wisconsin DOR spells out cloud treatment. SaaS — access to prewritten software on the vendor’s server — is not taxable if the customer doesn’t operate or control the server or have physical access to it, provided nothing taxable is bundled in. Storage on infrastructure the customer doesn’t control is not taxable, but use of servers the customer controls and can physically access is. Prewritten software downloaded to the customer’s equipment in Wisconsin, or downloaded elsewhere and used in Wisconsin, is taxable.

A SaaS company selling into Wisconsin usually has no tax to collect on the subscription itself — but if it also sells downloadable software, digital goods or hardware, those lines are taxable once it crosses $100,000.

Receipts and the franchise tax

Wisconsin apportions franchise tax by sales, so revenue from Wisconsin customers also matters to the income side. A company with Wisconsin nexus files a franchise tax return and apportions its income by the share of its sales attributed to Wisconsin; DOR offers a nexus questionnaire for companies unsure whether their activity is enough.

Common questions

Is our SaaS taxable in Wisconsin?

Not usually. Wisconsin DOR says charges for accessing prewritten software on the vendor’s server are not taxable when the customer doesn’t operate or control that server and has no physical access to it — as long as nothing taxable, like a digital good, is in the transaction. Software downloaded to the customer’s equipment in Wisconsin is taxable.

Which rate applies to a Wisconsin sale?

It depends on the customer’s address. The state rate is 5%; 70 counties add 0.5%, Milwaukee County adds 0.9%, and the City of Milwaukee adds 2% — so a taxable sale delivered in Milwaukee carries 7.9%.
