Flat 4% corporate tax, no franchise tax since 2024, but three-factor apportionment

Setting up a startup in Oklahoma

Oklahoma has a flat 4% corporate tax and repealed its franchise tax after 2023, leaving a $100 registered agent fee in its place. It still apportions income with three factors, so a team located here pulls income here, and its 2026 unemployment wage base is $25,000. SaaS is generally outside the sales tax.

Setup, in order

  1. Qualify the corporation

  7. Register for sales tax

    When nexus is reached

Register in OkTAP or through Streamlined Sales Tax if taxable sales into Oklahoma reach $100,000.

Common questions

Is Oklahoma’s franchise tax gone?

Yes. Oklahoma’s capital-based franchise tax ended after tax year 2023; there has been no franchise tax filing requirement since tax year 2024. What remains for a Delaware corporation is a $100 annual registered agent fee paid to the Tax Commission on Form FRX-200-R.

Do I charge Oklahoma sales tax on SaaS?

Generally no. Oklahoma’s sales tax is levied on gross receipts from tangible personal property and a list of specific services, and access to hosted software is not one of them. A company that also sells hardware or other goods into Oklahoma does collect on those.

How does Oklahoma decide contractor versus employee?

The Tax Commission applies the common-law control test: if the company has the right to control the manner and means of the work, not just the result, the worker is an employee and Oklahoma tax must be withheld, whatever the contract calls them. Workers who offer their services to the public and can make a profit or loss are more likely contractors.

What does Oklahoma unemployment insurance cost?

$25,000 per employee for 2026, with new employers at 1.5%. That is high for the region — Missouri’s is $9,000 — so a new Oklahoma employer pays up to $375 per employee a year. OESC has published $24,400 for 2027.

Does Oklahoma require an annual report for a corporation?

Not with the Secretary of State. A foreign corporation’s recurring Oklahoma filing is the $100 registered agent fee paid to the Tax Commission each year by July 1 on Form FRX-200-R. If it is not paid by September 1, the Commission may suspend the corporation’s right to do business.

Does Oklahoma have an R&D tax credit for startups?

Not a broad one that most software companies use. Oklahoma’s corporate credits are targeted — aerospace employers, rural jobs, strategic industrial projects, venture capital investment and others listed on Form 511-CR — and the main job-creation incentive, Quality Jobs, is a Department of Commerce program a company applies for before it hires.
