Contractors: a control test
The Tax Commission’s withholding guide uses a common-law control test. Factors include how the worker is paid, whether hours are set, who supplies tools, and the right to discharge. If the company controls the manner and means of the work, it must withhold Oklahoma tax regardless of the label. Contractors are not reported to the new-hire registry when there is no employer-employee relationship.
A startup paying a designer in Norman a fixed fee per project, on her own schedule and equipment, is on the contractor side. Paying the same designer hourly, with set hours and a company laptop, points to employment.
Use tax
Use tax applies to tangible personal property bought without Oklahoma tax and brought into the state — 4.5% state plus the local use tax where it is used. The typical startup cases are laptops and office equipment shipped by out-of-state sellers that didn’t collect.
Vendor checks
Uncashed vendor checks become unclaimed property, reported to the State Treasurer.

Common questions
How does Oklahoma decide contractor versus employee?
The Tax Commission applies the common-law control test: if the company has the right to control the manner and means of the work, not just the result, the worker is an employee and Oklahoma tax must be withheld, whatever the contract calls them. Workers who offer their services to the public and can make a profit or loss are more likely contractors.
Do we owe Oklahoma use tax on purchases?
On tangible goods, yes, if the seller didn’t charge Oklahoma tax — 4.5% plus any local use tax where the goods are used. Oklahoma’s sales and use tax reaches tangible personal property and specific services, so most SaaS subscriptions carry no use tax.
