Qualifying a Delaware corporation
A Delaware corporation doing business in Oklahoma qualifies with the Secretary of State. The fee is one-tenth of 1% of the capital it employs in Oklahoma, with a $300 minimum, and it needs an Oklahoma registered agent.
There is no separate annual report for corporations. Instead, every foreign corporation pays a $100 registered agent fee to the Tax Commission by July 1 on Form FRX-200-R. Until 2023 this rode along on the franchise tax return; with the franchise tax repealed, it is filed on its own — and if it is not paid by September 1, the Commission may suspend and forfeit the corporation’s charter.
A short annual calendar
For a calendar-year company with one Oklahoma employee, the year looks like this: W-2 and W-3 detail to the OTC through OkTAP by January 31; quarterly withholding returns and unemployment wage reports; Form 512 by May 15; and the registered agent fee by July 1.
Unclaimed property — uncashed payroll and vendor checks, customer credits — is reported to the State Treasurer on the schedule the Treasurer publishes.
Local licenses
Oklahoma does not issue a general state business license. Cities handle local licensing and zoning, and sales tax permits come from the Tax Commission through OkTAP.

Common questions
Does Oklahoma require an annual report for a corporation?
Not with the Secretary of State. A foreign corporation’s recurring Oklahoma filing is the $100 registered agent fee paid to the Tax Commission each year by July 1 on Form FRX-200-R. If it is not paid by September 1, the Commission may suspend the corporation’s right to do business.
How much does it cost to qualify in Oklahoma?
One-tenth of 1% of the capital the corporation employs in Oklahoma, with a $300 minimum. For a startup with a small Oklahoma footprint, that is usually the minimum.
