Qualifying a Delaware corporation
A Delaware corporation doing business in Iowa files a Foreign Registration Statement with the Secretary of State under Iowa Code 490.1503, with a $100 fee, and keeps a registered agent in Iowa. Iowa then asks for a biennial report, not an annual one: profit corporations file in even-numbered years between January 1 and April 1, for $60.
For a company that qualifies in, say, March 2027, that means the first report is due by April 1, 2028, and then every two years. An LLC runs on the opposite cycle: its biennial report is due in odd-numbered years, between January 1 and April 1, for $30 online or $45 on paper.
Tax calendar
The IA 1120 is due on the last day of the fourth month after year end — April 30 for a calendar-year company, two weeks after the federal Form 1120. Estimated payments go in on Form IA 1120ES. All of it runs through GovConnectIowa, the Department’s portal, which also holds the withholding and sales tax accounts.
Unclaimed property — uncashed payroll and vendor checks, unused customer credits — is reported and paid to the Treasurer by November 1.
A lighter calendar than most
With no franchise tax, a biennial report and one corporate return, Iowa’s corporate compliance is short. The workload sits in payroll — quarterly withholding and unemployment returns, 15-day new-hire reporting — and, for companies selling taxable goods or B2C software, sales tax.

Common questions
How often does Iowa want a report?
Every two years, not every year. Profit corporations — including a qualified Delaware corporation — file in even-numbered years, between January 1 and April 1, with a $60 fee. 2026 was a filing year; the next is 2028.
Do I need an Iowa business license?
No. Iowa does not issue a general state business license; cities and counties handle any local licensing and zoning. The state registrations are the Secretary of State filing, the IDR tax accounts and the IWD unemployment account.
