Registering a Delaware corporation
A Delaware corporation doing business in Kansas files a Foreign Business Application with the Secretary of State, for $115, and names a registered agent and office in Kansas. Kansas ties its business report to the tax year: the report is due by the 15th day of the fourth month after the entity’s tax period ends, so April 15 for a calendar-year company.
Since 2025 the report is filed every two years rather than annually, in even or odd years depending on when the business formed or registered in Kansas. The Secretary of State announced fee reductions for these reports in May 2026, so check the current schedule before filing.
Tax calendar
The K-120 is due on the 15th day of the fourth month after year end — April 15 for a calendar-year company, the same day as the federal Form 1120. Estimated tax is paid on Form K-120ES. Withholding runs on the KDOR schedule, with the KW-3 annual return, W-2s and 1099s due January 31. Unclaimed property is reported to the State Treasurer by November 1.
A two-person startup that registered in Kansas in 2026 and hired one engineer there has, in a typical year: an April 15 K-120, a biennial information report on the same date in its filing year, quarterly unemployment reports, withholding deposits and a January 31 KW-3.
No franchise tax
Kansas repealed its corporate franchise tax years ago. Its remaining privilege tax applies only to banks, savings and loans and trust companies, so a startup’s Kansas corporate cost is the income tax and the Secretary of State’s report fee.

Common questions
Is the Kansas annual report still annual?
Every two years. Kansas moved from annual to biennial information reports in 2025, and whether a business files in even or odd years is tied to the year it formed or registered. The report is due by the 15th day of the fourth month after the tax year ends — April 15 for a calendar-year company.
How much does the Kansas report cost?
The Secretary of State announced on May 26, 2026 that it was eliminating more than two dozen fees and cutting the biennial information report fee for most businesses. The fee in effect when you file is on the Secretary of State’s current fee schedule; older figures quoted in guides may be out of date.
